Terms of Service

These Terms of Service ("Terms") govern access to and use of the MPW Coaching Platform (the "Platform"), provided by REAP Connections LLC ("REAP," "we," "us") to the City of Marietta Board of Lights and Water d/b/a Marietta Power & Water ("MPW," "you") and its authorized users. Use of the Platform is also governed by the separate services agreement or proposal between REAP and MPW; if there is a conflict, that agreement controls.

2. Acceptable use

Users agree to use the Platform only for MPW's internal coaching and performance-management purposes, and not to: (a) access data they are not authorized to view; (b) attempt to breach or test security without authorization; (c) upload unlawful, malicious, or infringing content; or (d) interfere with the Platform's operation.

3. Data & ownership

As between the parties, MPW owns all data it imports or creates in the Platform (employee KPIs, coaching notes, feedback, and related records). MPW grants REAP the limited right to host and process that data solely to provide and support the Platform. REAP owns the Platform software, its design, and all related intellectual property. Handling of personal data is described in our Privacy Policy.

4. Service & support

REAP will provide the Platform and reasonable support during the engagement, using commercially reasonable efforts to keep it available. Occasional maintenance or third-party outages (hosting, email delivery) may cause temporary interruptions.

5. Fees

Fees for the Platform and related coaching services are set out in the applicable proposal or services agreement between REAP and MPW and are billed as stated there (e.g., annually by invoice).

6. Confidentiality

Each party will protect the other's confidential information — including MPW's data and REAP's software and methods — and use it only to perform under these Terms.

7. Disclaimers

The Platform is provided "as is." REAP disclaims implied warranties to the extent permitted by law. The Platform supports coaching decisions but does not replace MPW's own judgment or its employment and HR obligations. Imported KPI accuracy depends on MPW's source reporting systems.

8. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and REAP's total liability arising from the Platform will not exceed the fees paid by MPW for the Platform in the twelve months preceding the claim.

9. Term & termination

These Terms apply while MPW's engagement is active. On termination, user access ends and MPW's data is handled as described in the Privacy Policy and the services agreement.

10. Governing law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules.

11. Changes

We may update these Terms; material changes will be communicated to MPW and reflected in the "Last updated" date above.
